Welcome to TRANSFER SHO ("Platform", "we," "our," or "us"). These Terms of Service ("Terms") govern your access to and use of our football player transfer platform, including our website, mobile applications, and related services.

By accessing or using our Platform, you agree to be bound by these Terms and all applicable laws and regulations. If you do not agree with any part of these Terms, you may not access or use our services.

Eligibility Requirements:

• Professional agents and clubs must have valid licensing and certification

Account Responsibilities:

• You are responsible for maintaining the confidentiality of your account credentials
• You must notify us immediately of any unauthorized access to your account
• You are solely responsible for all activities that occur under your account
• You may not share, transfer, or sell your account to another person
• You must keep your profile information accurate and up to date

As a user of our Platform, you agree to:

• Truthfulness: Provide accurate and truthful information in your profile, statistics, and communications
• Respectful Conduct: Treat all users with respect and professionalism
• Legal Compliance: Comply with all applicable local, national, and international laws
• Authenticity: Upload only authentic documents, photos, videos, and credentials
• Privacy: Respect the privacy and confidentiality of other users
• Appropriate Content: Share only appropriate, non-offensive content
• Fair Dealing: Engage in good faith negotiations and communications
• Professional Standards: Maintain professional standards in all interactions

You are strictly prohibited from:

• False Information: Providing false, misleading, or fraudulent information about yourself, your skills, statistics, or credentials
• Impersonation: Impersonating another person, player, agent, club, or organization
• Harassment: Harassing, threatening, intimidating, or abusing other users
• Spam: Sending unsolicited messages, advertisements, or promotional materials
• Data Scraping: Using automated tools to collect data from our Platform without permission
• System Interference: Interfering with or disrupting the Platform's operation or servers
• Illegal Activities: Using the Platform for any illegal or unauthorized purpose
• Multiple Accounts: Creating multiple accounts to circumvent restrictions or deceive users
• Intellectual Property Violation: Infringing on copyrights, trademarks, or other intellectual property rights
• Underage Players: Facilitating transfers involving underage players without proper authorization
• Unauthorized Transactions: Conducting financial transactions outside the Platform to avoid fees

TRANSFER SHO provides the following services:

• Profile Creation: Tools for players and coaches to create comprehensive professional profiles
• Directory Access: Access to directories of verified players, coaches, agents, and clubs
• Connection Facilitation: Features to connect players with agents and clubs
• Verification Services: Identity and credential verification for platform users
• Communication Tools: Messaging and communication features between users
• Analytics: Performance statistics and career analytics
• News and Updates: Industry news, transfer updates, and platform announcements

Important: TRANSFER SHO is a platform that facilitates connections. We do not act as an agent, representative, or intermediary in transfer negotiations or contracts. All agreements, negotiations, and contracts are solely between the relevant parties.

Platform Ownership:

The Platform, including its design, layout, features, software, source code, databases, and content (excluding user-generated content), is owned by TRANSFER SHO and protected by copyright, trademark, and other intellectual property laws.

User Content:

• You retain ownership of content you upload (photos, videos, documents, statistics)
• By uploading content, you grant us a worldwide, non-exclusive, royalty-free license to use, display, reproduce, and distribute your content on the Platform
• You represent and warrant that you own or have the necessary rights to all content you upload
• You are responsible for ensuring your content does not infringe on third-party rights

Restrictions:

You may not copy, modify, distribute, sell, or reproduce any part of the Platform without our express written permission.

To maintain the integrity of our Platform, we implement verification processes for users. By using our Platform, you agree to:

• Provide accurate and verifiable information about your identity, skills, experience, and credentials
• Submit genuine documents for verification when requested
• Allow us to verify your information with third parties, including previous clubs, organizations, and authorities
• Update your profile promptly when information changes
• Cooperate with verification requests and inquiries

We reserve the right to suspend or terminate accounts that provide false or unverifiable information. Verified badges and status indicators are awarded at our discretion and do not constitute endorsements.

Some features and services on our Platform may require payment. By purchasing services, you agree to:

• Pay all fees associated with your selected services or subscription plan
• Provide accurate and complete payment information
• Authorize us to charge your payment method for recurring subscriptions
• Accept that all fees are non-refundable unless otherwise stated

We reserve the right to change our pricing and fees at any time. Price changes will not affect existing subscriptions until renewal. We will provide advance notice of price changes.

Your Rights:

You may terminate your account at any time by contacting us or using account settings. Upon termination, your profile will be deactivated and your data will be handled according to our Privacy Policy.

Our Rights:

We reserve the right to suspend or terminate your account immediately, without prior notice, if:

• You engage in prohibited activities
• You provide false or fraudulent information
• Your conduct poses risk to other users or the Platform
• We are required to do so by law or legal authority
• Your account remains inactive for an extended period

Upon termination, you must cease all use of the Platform. We are not liable for any losses resulting from account suspension or termination.

Service Disclaimer:

THE PLATFORM IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. WE DO NOT WARRANT THAT:

• The Platform will be uninterrupted, secure, or error-free
• The Platform will meet your specific requirements
• All user information is accurate or reliable
• Connections made through the Platform will result in successful transfers or contracts
• The Platform will be free from viruses or harmful components

Limitation of Liability:

TO THE MAXIMUM EXTENT PERMITTED BY LAW, TRANSFER SHO SHALL NOT BE LIABLE FOR:

• Any indirect, incidental, special, consequential, or punitive damages
• Loss of profits, revenue, data, or business opportunities
• Damages resulting from user errors, unauthorized access, or data breaches
• Disputes between users, including failed transfers or broken agreements
• Actions or omissions of third-party service providers

OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY.

You agree to indemnify, defend, and hold harmless TRANSFER SHO, its affiliates, officers, directors, employees, agents, and partners from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising from:

• Your use or misuse of the Platform
• Your violation of these Terms
• Your violation of any rights of another user or third party
• Your content or information posted on the Platform
• Your breach of any applicable laws or regulations
• Disputes with other users arising from your use of the Platform

Informal Resolution:

If you have a dispute with us, you agree to first contact us and attempt to resolve the dispute informally. We will work in good faith to resolve any disputes.

User Disputes:

Disputes between users (including failed transfers, contract disputes, or payment issues) are solely between the parties involved. TRANSFER SHO is not responsible for mediating or resolving disputes between users. We recommend seeking independent legal advice for such matters.

Governing Law:

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which TRANSFER SHO operates, without regard to conflict of law principles.

We reserve the right to modify or update these Terms at any time. We will notify you of material changes by:

• Posting the updated Terms on our Platform with a new "Last Updated" date
• Sending email notifications to registered users
• Displaying prominent notices on the Platform

Your continued use of the Platform after changes are posted constitutes your acceptance of the modified Terms. If you do not agree to the changes, you must stop using the Platform and may terminate your account.

It is your responsibility to review these Terms periodically for updates.

• Entire Agreement: These Terms constitute the entire agreement between you and TRANSFER SHO regarding the Platform
• Severability: If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect
• Waiver: Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision
• Assignment: You may not assign or transfer these Terms without our written consent. We may assign our rights and obligations without restriction
• Third-Party Rights: These Terms do not create any third-party beneficiary rights
• Force Majeure: We are not liable for delays or failures in performance resulting from causes beyond our reasonable control
